I. CONDITIONS FOR ACCOUNT CREATION AND PLATFORM USE
Persons wishing to create an account on the MOSHKA FZ-LLC platform and use the Service must be at least 18 years of age and possess full civil capacity in accordance with the applicable legislation of their country of residence.
If a person has not reached the age of 18 but has reached the age permitting consent to the use of online services under their country's legislation, they may not independently create an account. In such a case, access to the Platform may only be obtained through a parent or legal guardian, who accepts these Terms in their own name and bears full responsibility for the minor's actions.
By creating an account and using the Service, the User confirms that they meet the above requirements.
In addition, the following conditions apply to the use of the Service and the creation of an account:
- To create an account, the User must provide accurate and current information, including an email address under their control. Depending on the selected access model, payment information may be required through third-party payment processors. The Company does not store full bank card details.
- The User undertakes to keep the information provided current and to update it promptly when changes occur.
- An account may only be created by a natural person. Registration of accounts using automated tools, bots or other software instruments is prohibited.
- The account is personal. The User may not transfer login credentials to third parties, share Subscription access, provide third parties with access to Platform materials, or otherwise enable joint use of the account.
- The User is responsible for the security of their account login credentials. Any actions taken using the User's account are deemed to have been taken by the User themselves.
- Use of the Service is permitted exclusively for lawful purposes and in compliance with applicable law.
- The Platform may integrate with third-party services and technological solutions to provide functionality, including but not limited to video hosting, analytics, streaming, payment systems and other technology providers. By using such features, the User agrees to comply with the terms and policies of the respective third parties.
- The User undertakes to comply with the rules of acceptable behavior on the Platform, including the prohibition on posting unlawful, offensive or third-party rights-infringing content.
- The User undertakes to use any data obtained through the Platform exclusively for personal purposes and in accordance with the Company's Privacy Policy.
- The Company may establish technical limitations, including restrictions on data storage volume, duration of access to certain materials, streaming speed and other parameters necessary to ensure stable Platform operation.
- Use of the Service requires an appropriate device, software and internet connection. The Company is not responsible for inability to use the Service due to reasons related to the User's equipment or connection.
- The Company does not guarantee uninterrupted, error-free and absolute availability of the Service. Temporary technical failures are not grounds for automatic refund, unless otherwise provided by the Refund Policy.
- The User may at any time cease using the Platform and delete their account through the corresponding interface functionality or by contacting support.
- The Company may delete or suspend a User's account: (a) in case of violation of the terms of these Terms; (b) in case of unlawful use of the Service; (c) upon detection of fraudulent activities; (d) in case of prolonged inactivity.
- In case of a request to restore access, the Company may require information necessary to confirm identity and account ownership.
- In case of the User's death, the account may be closed upon application by heirs upon submission of supporting documents.
The Company may at its discretion modify, suspend or terminate the Service or its individual features.
By creating an account and providing an email address, the User agrees to receive service notifications related to Platform use. Receipt of marketing communications is subject to separate consent and may be discontinued by the User at any time through account settings or the unsubscribe link in an email.
The User confirms that they are located in a territory where use of the Service is not prohibited by law and are not subject to international or local sanctions.
The Company does not provide services to Users located in the territory of the Russian Federation, as well as in territories of countries or regions subject to sanctions restrictions established by the United States of America (OFAC), the European Union, the United Kingdom and the United Nations.
The Company reserves the right to suspend or terminate access to the Service without prior notice and without compensation in case of violation of the above requirements.
The Company may at its discretion refuse to create an account, provide access to the Service, activate a Subscription or process a payment transaction without explanation if it determines that the use of the Platform may create legal, sanctions, compliance, payment processor, acquiring bank, international payment system or other material risks for the Company.
1.1. Gift Access
After completing registration, the User may be granted free gift access to the Platform for a limited period.
Gift access is provided free of charge and does not require a paid subscription or payment details.
Information about the granting of gift access, its duration and how to use it is sent to the email address provided by the User during registration.
At the end of the gift access period, it automatically terminates and does not convert into a paid subscription. To continue using the Platform, the User may independently purchase a paid subscription.
By registering on the Platform, the User confirms that they understand and accept the terms of gift access.
II. SUBSCRIPTIONS, PAYMENTS AND CANCELLATION
A. Subscriptions, Purchases and Payments
By specifying a payment method and/or confirming payment, the User expressly authorizes the Company (and/or its payment processors) to charge the applicable payments, including recurring Subscription payments, as well as applicable fees and taxes (if applicable).
Payment Warranties
By making payment through the Platform's integrated payment tools, the User additionally confirms and warrants that:
- they are acting on their own behalf and are using the payment instrument on lawful grounds;
- the payment instrument is not registered to a person subject to sanctions restrictions;
- the transaction is not aimed at circumventing currency regulations, export controls or international sanctions regimes;
- they are not using third parties, nominees or other schemes to circumvent restrictions.
The Company may suspend payment processing, request additional information, or refuse to process a transaction if the operation creates a risk of violating payment processor, acquiring bank or international payment system requirements.
The Company may immediately change the Subscription price or payment terms without following the general notification procedure if such changes are required by legislation, sanctions regimes, changes in payment system rules or mandatory regulatory requirements.
In case of failed charge (error, insufficient funds, blocking, etc.), the Company may suspend access to paid features until payment is successfully processed and/or cancel the Subscription if required to comply with payment processor requirements.
Unless the User has signed up for a gift or prepaid Subscription or other time-limited access without automatic renewal, their Subscription on the MOSHKA FZ-LLC platform continues and automatically renews on a monthly or annual basis until cancelled by the User or until their account is suspended or terminated in accordance with these Terms.
Upon each Subscription renewal, the Company automatically charges the Subscription fee, as well as applicable mandatory payments, to the User's designated payment method on the calendar day corresponding to the start date of the paid Subscription.
If the payment method expires before the renewal date, data may be automatically updated based on information provided by the issuing bank if supported by the relevant payment system. The User undertakes to provide current and accurate payment data and to update it promptly when changes occur.
The Company may change the payment date in case of technical failures, transaction rejection or inability to charge on the scheduled day.
Payment is processed through third-party secure payment systems. Available payment methods are indicated on the checkout page and may change. Information provided by the User to payment operators is processed in accordance with their own terms and policies. The Company does not store bank card details and is not responsible for the actions of payment operators, including possible fees or payment processing delays.
If the User has signed up for a gift or prepaid Subscription or time-limited access without automatic renewal, access terminates automatically at the end of the relevant period without additional notice. To continue using the Service, a new Subscription must be arranged and a valid payment method specified.
The Company may develop and introduce new products, features or access formats within the MOSHKA FZ-LLC platform. If the User decides to purchase additional paid features or access formats, such services are paid for separately.
The Company may change Subscription terms, including its price. The updated version takes effect from the date of publication unless otherwise specified. The User is notified by publication of the new version on the Platform and/or by sending a notification to the specified email address. Changes take effect from the beginning of the next billing cycle after the date of their publication. Continued use of the Subscription after changes take effect constitutes the User's agreement to the new terms. If the User disagrees with the changes, they may cancel the Subscription before the start of the next billing cycle.
In case of Subscription price changes for Users who are consumers in the European Union, such changes take effect no earlier than the beginning of the next billing cycle and only subject to at least 14 calendar days' prior notice. The User may cancel the Subscription before the changes take effect without any penalties.
The User confirms that use of their chosen payment instrument complies with the legislation of their country of location or residence and is not aimed at circumventing currency regulations, sanctions regimes, export restrictions or other applicable legal requirements.
The User is solely responsible for paying any taxes, duties or mandatory payments that may arise in their jurisdiction in connection with purchasing access to the Service. The Company does not act as a tax agent for the User unless expressly required by mandatory applicable law provisions.
For Users who are consumers in the European Union, termination of access due to violation does not preclude the right to a proportional refund for the unused period if the violation is not material and intentional.
For Users who are consumers in the European Union, information about automatic Subscription renewal, billing frequency and applicable price is provided before payment in a clear and understandable form. The User expressly confirms that they understand the nature of automatic renewal and the need to independently cancel the Subscription before the renewal date.
B. Free Free Trials and Other Promotions
From time to time, the Company or third parties acting on its behalf may offer trial versions of paid Subscriptions for a certain period free of charge or at a reduced price (hereinafter — "Free Trial").
The Company reserves the right at its discretion to determine the User's eligibility for a Free Trial and, to the extent permitted by applicable law, to modify or terminate Free Trial terms at any time without prior notice and without any liability.
Activation of certain Free Trials may require specifying a payment method. Upon expiry of such Free Trial, the cost of the corresponding paid Subscription is automatically charged to the specified payment method on the first day after the Free Trial ends, and then on a recurring monthly or annual basis unless the User cancels the Subscription before the end of the free period or before the renewal date (depending on the applicable model).
By providing payment details when signing up for a Free Trial, the User confirms their consent to automatic payment charges in the manner provided by these Terms.
Subscription on the MOSHKA FZ-LLC platform renews automatically until cancelled by the User. The User may cancel the Subscription at any time before the end of the paid billing cycle. In this case, access to Subscription functionality is retained until the end of the paid period, after which it automatically terminates.
If the User activates a Free Trial with a linked payment method, the Subscription automatically transitions to paid mode and the charge is made for the next billing cycle unless the User cancels the Subscription before the end of the Free Trial.
Separately, a format of purchasing access to certain digital materials for a fixed period specified on the relevant product page and/or at checkout, without automatic renewal, may be available. Such access is not a Subscription and terminates automatically upon expiry of the specified period without additional notice.
If the User does not wish for the initial or subsequent charge to occur, they must cancel the Subscription before the end of the Free Trial or before the renewal date through their MOSHKA FZ-LLC platform account settings.
If the Subscription was arranged through Apple App Store or Google Play, the terms of payment, charges and refunds are governed by the rules of the respective platform operator. In such cases, the Company does not process refunds and does not control the timing and procedure of their processing.
The User confirms that when signing up for a Free Trial or Subscription, they are not located in a territory where use of the Service is prohibited by applicable law and are not subject to international or local sanctions restrictions.
The Company does not provide paid services to Users located in the territory of the Russian Federation, as well as in territories or jurisdictions subject to sanctions restrictions established by the United States of America (OFAC), the European Union, the United Kingdom or the United Nations. Upon detection of a violation of these requirements, the Company may suspend or terminate access to the Service without prior notice and without compensation.
The Company may conduct time-limited promotions, special offers and sales, within which the Subscription price may be reduced. The Subscription price may vary depending on User status, including offers for new users.
Promotional or reduced prices are valid for a limited period. Upon expiry of such period, the Subscription automatically renews at the standard price in effect at the time of renewal, unless the User cancels it before the renewal date through their account settings.
C. Refunds
Refund terms are determined by the Refund Policy published on the Platform and apply to the extent permitted by mandatory applicable law provisions. The Company may refuse a refund in cases provided by the Refund Policy and/or mandatory law (e.g., upon provision of access to digital materials).
The User may withdraw from the purchase of digital materials provided separately from a Subscription and request a full refund within 14 (fourteen) calendar days from the date of payment, provided that the User has not accessed, streamed, downloaded or otherwise started using those materials. This restriction applies only to the extent permitted by mandatory applicable law.
Refunds for Subscriptions are not made, including for the unused portion of a billing cycle, except where the Services have not been provided or have been provided improperly, and in any other cases where a refund is required by applicable law. Upon cancellation of a Subscription, access to functionality is retained until the end of the paid period, after which it automatically terminates.
Where digital content is supplied immediately, the User expressly requests and consents to the commencement of performance before the end of any applicable withdrawal period and acknowledges that, where permitted by mandatory applicable law, the right of withdrawal may be lost once access to or performance of the digital content begins.
Access purchased for a fixed period without automatic renewal may be refunded within 14 (fourteen) calendar days from the date of payment, provided that the User has not accessed, streamed, downloaded or otherwise started using the included digital content. This restriction applies only to the extent permitted by mandatory applicable law.
A refund request must be sent to the Company's support team at the official email address specified on the MOSHKA FZ-LLC platform. Requests submitted after the 14-day period are not subject to satisfaction.
Upon confirmation of the right to a refund, funds are returned to the same payment method used for the purchase within 7–14 business days from the date of the refund decision. The timing of fund crediting may depend on the internal policy of the bank or payment system and is not controlled by the Company.
If the Subscription or payment was arranged through Apple App Store or Google Play, refunds are processed in accordance with the rules of the respective platform. The Company does not make refund decisions for such transactions and is not responsible for the procedure and timing of their processing.
Users are strongly advised not to initiate a chargeback (payment dispute through the bank) as a means of obtaining a refund. In case a chargeback is initiated, the Company may provide the payment system with all necessary documentation, including confirmation of digital material access provision, account usage information, access activation electronic logs, and correspondence history with the User. The Company may contest unsubstantiated chargebacks in the established manner.
The Company reserves the right to refuse a refund upon detection of abuse, fraudulent actions, violation of these Offer terms, or attempts to circumvent sanctions restrictions.
Refunds are not made in cases where service provision became impossible due to the User providing inaccurate information, violating a sanctions regime, or using the Service from a territory where its provision is prohibited.
Initiating an unsubstantiated chargeback (payment dispute through the bank or payment system) may be considered a material breach of these Terms.
In case a chargeback is found unsubstantiated, the Company may:
- restrict or block the User's account;
- refuse further service provision;
- transmit transaction and User action information to payment processors and anti-fraud systems;
- recover payment system commissions, bank fees and other documented expenses incurred by the Company.
The User confirms that before initiating a payment dispute procedure through the bank or payment system (chargeback), they are obliged to contact the Company's support team for pre-dispute resolution.
Unsubstantiated initiation of a chargeback procedure may be considered abuse of rights and a material breach of these Terms.
D. Subscription Cancellation
A Subscription renews automatically unless cancelled by the User. The User may cancel the Subscription at any time before the end of the paid period; in this case, access to the Subscription is retained until the end of the paid period, and no further charges are made.
Subscription cancellation takes effect from the moment of confirmation in the system, while access to Subscription functionality is retained until the end of the paid billing cycle. Upon expiry of such period, access automatically terminates without additional notice.
Subscription cancellation does not entail a refund for the already paid billing cycle, except as expressly provided in the "Refunds" section of these Terms or by mandatory applicable law provisions.
If the Subscription was arranged through third-party platforms, including Apple App Store or Google Play, cancellation is carried out through the User's corresponding account in such services. The Company does not control the cancellation procedure, charges and Subscription termination within third-party platforms and is not responsible for the actions or omissions of such operators.
If at the time of automatic Subscription renewal the charge was not successfully completed, the Company may suspend access to the Subscription until successful charge or cancel the Subscription.
The Company may unilaterally suspend or terminate a Subscription without refund in case of:
- violation by the User of the terms of these Terms;
- violation of a sanctions regime or provision of inaccurate information about the territory of Service use;
- detection of signs of fraud, abuse of refund rights or unlawful use of payment instruments;
- use of the Service from the territory of the Russian Federation or other territories subject to international sanctions restrictions.
In case of Subscription termination at the Company's initiative due to violation of Offer terms, access to functionality terminates immediately.
The User confirms that automatic Subscription renewal is an essential term of these Terms and understands the need to independently cancel the Subscription before the renewal date if they do not wish to continue.
III. PROHIBITED USES OF THE SERVICE
By using the MOSHKA FZ-LLC Service, the User undertakes to comply with applicable law, these Terms and other Company documents published on the Platform.
The User is prohibited from:
3.1. Posting, uploading, publishing, transmitting or otherwise distributing materials for which they do not have the necessary rights, including copyright, licensing or other lawful basis.

3.4. Using the Service for unlawful activities, including fraud, unlawful use of payment instruments or other illegal actions.
3.5. Using automated tools (bots, scripts, mass download systems, scraping technologies and other similar tools) to extract data, copy content or analyze the Service structure without the Company's written permission.
3.6. Transferring account access to third parties, including login and password, providing shared Subscription access, or otherwise providing paid functionality to persons who are not the account holder.
3.7. Attempting to circumvent technical limitations, protection mechanisms, geographic filtering systems, compliance checks or other measures implemented by the Company.
3.8. Decompiling, reverse engineering, attempting to obtain source code, interfering with servers, databases or other Service components.
3.9. Removing or modifying notices of copyright, trademarks or other intellectual property rights posted on the Platform.
3.10. Using the Service in a manner that may lead to infrastructure overload, disruption of functioning or deterioration of access quality for other Users.
3.11. Using the Service to circumvent international sanctions restrictions or from a territory where its use is prohibited by applicable law.
The Company may at its discretion remove posted materials, restrict account functionality, or suspend or terminate the User's access to the Service without prior notice and without compensation in case of violation of this Section III.
IV. COMPANY LICENSE AND SERVICE MATERIALS
4.1. All rights, title and proprietary interests in the MOSHKA FZ-LLC Service, including the website, mobile versions, software code, interface, design, databases, Platform structure, functional solutions, algorithms, curated collections, texts, graphics, audiovisual elements, presentations, checklists, methodological materials, descriptions, tests, and other materials published by the Company or its partners (except User Content), are and remain the exclusive property of MOSHKA FZ-LLC and/or its licensors.

4.7. The User may not resell, sublicense, lease, provide for temporary use, make publicly available, provide subscription-based access to third parties, or otherwise commercialize access to the Service or its materials without the Company's prior written consent.
4.8. Any attempt to resell or commercially distribute access to the Platform constitutes a material breach of these Terms and may result in immediate termination of access without refund.
4.9. Nothing on the MOSHKA FZ-LLC Platform should be construed as granting the User any additional rights to use the Service, User Content or third-party proprietary content without the express written consent of the Company or the respective rights holder.
4.10. All rights not expressly granted to the User by these Terms are retained by the Company.
Rights to Third-Party Materials
Where Content is created by authors, experts, contractors or other third parties by order of or in the interests of the Company, exclusive rights to such materials are transferred to the Company under relevant assignment agreements, license agreements or work-for-hire agreements in accordance with applicable law.
The Company ensures that the necessary rights and warranties are obtained from such persons for the lawful use of Content within the Platform.

5.6. The Company does not pre-moderate all User Content and does not automatically approve materials posted by Users. The Company does not guarantee the accuracy, reliability or legality of User Content and is not responsible for the consequences of its use. Access to User Content is at the User's own risk.

The Company and/or invited authors and hosts (if applicable) may periodically offer Users participation in live sessions, online meetings, material premieres, thematic sessions, interactive events, games/quests, and other online events within the MOSHKA FZ-LLC Platform (hereinafter — "Events").
6.1.2. Events may be conducted in real time and (if indicated on the Platform) may be available as recordings after completion.
6.2. Access to Events and Admission Rules
6.2.1. Access to an Event may be provided: (a) as part of the User's active Subscription (including annual Subscription); (b) as part of a Subscription Free Trial — only if this is expressly stated in the description of the relevant Subscription or Free Trial; (c) in other cases — on terms expressly stated on the Platform (e.g., upon one-time purchase of time-limited access), if such model is provided by MOSHKA FZ-LLC functionality.
6.2.2. The Company may establish additional access conditions for a specific Event (including but not limited to: seat/participant limits, age restrictions, territorial restrictions, account requirements, technical requirements, need for payment confirmation and other conditions).
6.2.3. Such conditions are brought to the User's attention on the page of the respective Event and/or upon arranging access.
6.3. Event Calendar and Its Availability
6.3.1. The Platform may provide Users with Event Calendar functionality, containing event schedules, reminders, links/buttons for connecting to live sessions, and other related functionality (including but not limited to: adding to personal calendar, notifications, participation marks and other elements) (hereinafter — "Calendar").
6.3.2. Access to the Calendar is provided only to Users with an active Subscription and/or annual Subscription in accordance with the tariff descriptions on the Platform.
6.3.3. If the User does not have an active Subscription (or the paid billing cycle has expired), Calendar functionality may be fully or partially unavailable, including (without limitation) viewing the schedule, receiving notifications, accessing connection links and/or other Calendar elements.
6.3.4. The Company may change the Calendar structure, its content, schedule format, and add or remove Events and modify their parameters (time, topic, duration, recording availability) for organizational, technical and other reasons. The Company strives to reflect current information in the Calendar as much as possible but does not guarantee schedule immutability.
6.4. Payment for Event Access and Charges
6.4.1. If access to a specific Event or other MOSHKA FZ-LLC functionality is provided for a fee (including as part of a Subscription), the User authorizes the Company (or the Company's payment partner) to charge the corresponding amount to the User's chosen payment method.
6.4.2. When paying through third-party payment systems (including Stripe, PayPal and other services), payment processing is carried out in accordance with the rules and conditions of such systems, and the User's payment data is processed by the respective provider.
6.4.3. If the User arranges a Subscription and/or access to Events through Apple App Store or Google Play, payments and refunds are governed by the rules of the respective app store and provider (Apple/Google). The User must address charge and refund issues in accordance with the procedures of the respective platform unless otherwise provided by applicable law.
6.5. Technical Participation Conditions
6.5.1. Participation in Events and use of the Calendar requires a compatible device, appropriate software and stable internet connection.
6.5.2. The User understands and accepts that participation quality (audio, video, connection, synchronization, notifications and other technical parameters) may depend on the User's equipment, communications provider and other factors beyond the Company's control.
6.5.3. Non-compliance with technical requirements or technical limitations on the User's side may lead to reduced access quality. Such quality reduction in itself is not grounds for compensation unless expressly provided by applicable law or published refund rules.
6.6. Cancellation, Postponement and Recording Access
6.6.1. The Company may cancel or postpone an Event, and also change its format (including conducting it without a recording or providing a recording at a later date) if this is caused by organizational, technical reasons, force majeure, unavailability of the host/author, legal or compliance requirements or other circumstances.
6.6.2. In case of cancellation of paid access to a specific Event (if applicable), the refund or compensation procedure is determined by the refund rules published by the Company on the Platform and/or the rules of the respective payment processor or app store (Apple/Google — if payment was made through them).
6.6.3. If an Event is part of a Subscription, the User's failure to participate in the Event (including absence for personal reasons) is not grounds for Subscription payment refunds unless otherwise provided by applicable law.
6.7. Conduct Rules and Moderation During Events
6.7.1. The User undertakes to comply with Platform rules when participating in Events, including prohibition on law violations, distribution of prohibited content, spam, fraudulent actions, violation of third-party rights and other violations of these Terms.
6.7.2. The Company may restrict or terminate the User's access to an Event and/or the Platform in case of violations, and also apply other measures provided by these Terms.
6.8. Recordings, Event Materials and Use Restrictions
6.8.1. If the Company provides an Event recording or accompanying materials (including files for viewing/downloading, methodological materials, presentations, descriptions, tests and other materials), such materials are provided to the User on the license terms and restrictions specified in these Terms.
6.8.2. The User may not carry out unauthorized copying, distribution, public display, sale, transfer to third parties or other use of such materials beyond the granted license unless expressly permitted by the Company.
VII. VIOLATION NOTICES AND CONTENT MODERATION
7.1. General Provisions
7.1.1. The MOSHKA FZ-LLC Platform applies content moderation procedures and violation notice processing in accordance with applicable UAE legislation, as well as — where applicable — Regulation (EU) 2022/2065 "On Digital Services" (Digital Services Act, DSA).
7.2. Content and Moderation Policy
7.2.1. The procedure for posting content by Users, content admissibility criteria, access restriction procedures, material removal, account blocking, as well as the mechanism for submitting and processing complaints are governed by a separate document — the "MOSHKA FZ-LLC Content and Moderation Policy".
7.2.2. This Policy is published on the Platform and forms an integral part of these Terms.
7.3. User Obligations
7.3.1. The User undertakes to comply with the requirements of the "MOSHKA FZ-LLC Content and Moderation Policy" when posting any content, participating in live sessions, using comments, tests, interactive formats, uploading materials and using other Platform features.
7.4. Company Powers
7.4.1. The Company may at its own discretion and in accordance with the "MOSHKA FZ-LLC Content and Moderation Policy": (a) remove or restrict access to content; (b) temporarily or permanently restrict User functionality; (c) suspend or delete an account; (d) apply other measures provided by these Terms and applicable law.
7.5. Notice Submission Procedure
7.5.1. Notices of alleged violations are submitted in the manner established by the "MOSHKA FZ-LLC Content and Moderation Policy".
7.5.2. The User confirms that they are familiar with the said procedure and accept it.
7.6. Trusted Flaggers
7.6.1. In cases where EU legislation requirements apply to the Platform, MOSHKA FZ-LLC may take into account notices from entities recognized as Trusted Flaggers in accordance with Article 22 of Regulation (EU) 2022/2065 (Digital Services Act).
7.6.2. Notices from such entities may be processed on a priority basis provided they meet the established formal requirements and contain sufficient information to identify the alleged violation.
7.6.3. Recognition as a Trusted Flagger is carried out by the competent EU authority in the manner established by applicable law. MOSHKA FZ-LLC is not responsible for such entity's status and acts on the basis of the information provided and legal requirements.
7.7. Recording and Storage of Moderation Data
7.7.1. Moderation actions, including notices, decisions and related technical data (including IP address, timestamps and other service data), may be recorded and stored by the Company for Platform security, internal audit, rights protection and legal compliance purposes.
VIII. CONTENT RECOMMENDATIONS, ALGORITHMS AND PERSONALIZATION
8.1. General Provisions
The Company may use automated technologies, algorithmic data processing systems and software mechanisms for analyzing user activity to ensure the functioning of the MOSHKA FZ-LLC Platform, structure materials and personalize the user experience. Such technologies are applied exclusively for the purposes of improving Service usability, improving navigation, displaying relevant materials and optimizing Platform operation.
8.2. Recommendation Formation Principles
Platform algorithms may take into account User actions within Service use, including but not limited to: viewing materials, participating in live sessions, completing tests, interacting with interface elements, using the event Calendar, saving materials, activity duration, login frequency and other technical Service usage parameters.
Based on a combination of such factors, the order of material display, content recommendations, curated collections, personalized notifications, as well as the Event Calendar display structure may be formed.
8.3. Gamification
The Platform may use gamification elements, including points accrual, status assignment, activity ranking formation and bonus opportunity provision.
Calculation of these indicators is carried out on the basis of the Company's internal algorithms. Such indicators are for informational purposes only, intended to stimulate engagement and do not create any proprietary or other legally significant rights for the User.
8.4. Restrictions on Sensitive Data Processing
The Company does not use special categories of personal data (including information about racial or ethnic origin, religious beliefs, health status, political views or other sensitive data) when forming recommendations, rankings or bonus indicators.
8.5. Absence of Solely Automated Decisions
MOSHKA FZ-LLC does not make decisions having legal consequences for the User or significantly affecting their rights based solely on automated data processing.
Decisions on blocking, access restriction, material removal or Service use termination are made with the participation of an authorized Company representative and in accordance with these Terms and other applicable documents.
8.6. Right to Explanation
In cases provided by applicable law, including EU Digital Services legislation (Digital Services Act), the User may request general information about the principles of recommendation or ranking formation, as well as an explanation of the reasons for a decision made with respect to them.
The Company provides such explanations within a reasonable time, except in cases where disclosure of such information may violate the law, third-party rights or lead to disclosure of trade secrets.
8.7. Algorithm Changes
The Company may at any time change algorithm parameters, recommendation, ranking and bonus indicator formation principles for the purposes of improving Platform operation, preventing abuse and complying with legal requirements.
Such changes have no retroactive effect and do not revise previously granted User access rights to purchased materials, unless expressly provided otherwise by these Terms.
IX. ARBITRATION AGREEMENT AND DISPUTE RESOLUTION PROCEDURE
Please read this section carefully. It affects your legal rights, including your right to go to court.
1. Mandatory Pre-Dispute Resolution Procedure
1.1. If any dispute, disagreement, claim or complaint arises between the User and MOSHKA FZ-LLC (hereinafter — "Company") arising from these Terms, use of the MOSHKA FZ-LLC Platform and/or related services, features, materials, subscriptions, payments or other interactions (hereinafter — "Dispute"), the Company seeks constructive dialogue and good-faith resolution of the Dispute before initiating arbitration proceedings or going to court (in cases where such recourse is permitted by these Terms or applicable law).
1.2. With respect to any Dispute, the parties acknowledge and agree that before filing an arbitration claim, they must make good-faith efforts for pre-dispute resolution. This pre-dispute procedure is a mandatory condition precedent for commencing arbitration proceedings.
1.3. To initiate pre-dispute resolution, the party asserting the Dispute must send the other party a written notice of the Dispute (hereinafter — "Dispute Notice") containing at least the following information:
(a) the full name (designation) of the applicant and their contact details (email address and/or postal address), as well as the Platform account identifier (if applicable);
(b) a detailed description of the nature of the Dispute, factual circumstances and events on which the claims are based, including dates, amounts (if applicable) and other material details;
(c) the applicant's specific claims (what they are requesting: compensation, refund, access restoration, cessation of violation, etc.);
(d) documents and other evidence supporting the applicant's position, if available at the time of sending the Dispute Notice;
(e) confirmation that the applicant is a party to these Terms and/or a Platform user (to a reasonable extent allowing identification of the relationship with the Company).
Before going to arbitration, either party must send the other party a written dispute notice describing the claims and circumstances; the period for attempting resolution — 45 (forty-five) calendar days from the date of receipt of the notice.
1.4. The User sends the Dispute Notice to the Company's email address specified in these Terms and/or in the "Contacts" section on the Platform. The Company may at its discretion additionally specify a postal address for sending Dispute Notices; if such address is available, the User must also duplicate the Dispute Notice to it.
1.5. The Company considers the Dispute Notice and, if necessary, may request additional information and/or documents from the User reasonably necessary to consider the Dispute. The User undertakes to provide the requested information within a reasonable time.
1.6. If the Dispute is not resolved within forty-five (45) calendar days from the date of the Company's receipt of the Dispute Notice (unless otherwise agreed by the parties in writing), either party may initiate arbitration proceedings in the manner established by this Section IX.
1.7. The parties agree that during the mandatory pre-dispute resolution period (including the period specified in clause 1.6), the running of any applicable limitation periods and other procedural periods is suspended to the extent that such suspension is permitted by applicable law, and also that non-compliance with this pre-dispute procedure may be taken into account by the arbitrator when allocating costs, including arbitration fees and representative costs, to the extent permitted by applicable arbitration rules and UAE law.
1.8. For clarity: pre-dispute negotiations and Dispute consideration are conducted exclusively on an individual basis. The User and the Company acknowledge that several persons asserting similar claims may not send a joint Dispute Notice, conduct joint negotiations or request joint consideration of the Dispute within the pre-dispute procedure, unless expressly agreed otherwise by the Company in writing.
If the dispute is not resolved within the specified period, it shall be finally resolved by arbitration in Fujairah Creative City Free Zone under UAE law. The language of proceedings — English.
2. Mutual Binding Arbitration Agreement (Mandatory Arbitration as the Sole Means of Dispute Resolution)
2.1. General Rule on Mandatory Arbitration. If a Dispute (as defined below) between you and the Company was not resolved through the mandatory pre-dispute notice and negotiation procedure provided in Section 1 of this Section IX, any such Dispute shall be finally resolved exclusively through mandatory individual arbitration, and not in a court of law, except for the limited cases expressly stated in this Section IX.
2.2. What "Mutual" and "Binding" Mean. You and the Company acknowledge and agree that this arbitration agreement is mutual: the Company may require transfer of a Dispute to arbitration on the same terms as you; you may require transfer of a Dispute to arbitration on the same terms as the Company; both parties waive consideration of Disputes by courts, except for the exceptions specified in this Section IX.
2.3. Definition of "Dispute" (maximally broad). For the purposes of this Section IX, "Dispute" means any dispute, disagreement, claim, demand or assertion (including third-party assertions where permitted by law), regardless of legal nature and basis (contract, tort, unjust enrichment, law, terms of service, consumer rules, etc.), which: (a) arises from these Terms, relates to it or its interpretation, validity, performance, termination; (b) relates to access to the MOSHKA FZ-LLC Platform, use or inability to use the Platform; (c) relates to your account, registration, identity verification, blocking, restrictions, access termination; (d) relates to subscriptions, payments, charges, refunds, trials, time-limited access purchases, as well as any asserted disagreements with charges; (e) relates to any materials posted/available on the Platform and any rights to such materials (including intellectual property rights); (f) relates to user content, moderation actions, complaints and challenging moderation decisions; (g) relates to personal data processing and/or Privacy Policy compliance; (h) relates to any statements, communications, notices, newsletters, support; (i) relates to any other relationship between you and the Company arising in connection with the MOSHKA FZ-LLC Platform.
2.4. Disputes about Arbitration Itself Are Also Decided by the Arbitrator (Including Applicability/Validity). You and the Company separately agree that any questions about the applicability of this arbitration agreement, including (without limitation): whether a specific dispute is a "Dispute" under this Section; whether the arbitration agreement is valid; whether arbitration covers a specific claim; whether a claim is subject to arbitration or falls under exceptions — are resolved by the arbitrator, not a court, unless otherwise expressly prohibited by applicable law.
2.5. Individual Nature of Arbitration. Arbitration is conducted exclusively on an individual basis between you and the Company. This means that: arbitration may not be commenced, continued or heard as a collective/group/class proceeding; claims of different users are not combined or consolidated; the arbitrator may not hear claims on a representative basis — unless expressly agreed by the Company in writing or if this is expressly required by a mandatory provision of applicable law.
2.6. Place (Seat) of Arbitration and Jurisdiction: Free Zone (Fujairah Creative City). The parties expressly agree that: (a) the legal seat of arbitration is the Fujairah Creative City Free Zone, UAE (or another arbitral forum/center in the UAE expressly designated by the Company on the Platform if necessary for administering the procedure); (b) arbitration is deemed to have been conducted in the specified jurisdiction regardless of whether the hearing is held in person or remotely; (c) all procedural matters of arbitration are governed by applicable UAE arbitration rules and the rules of the chosen arbitral institution/center.
2.7. Arbitral Institution/Administration. Unless otherwise provided by a specific dispute notice or the Company's Platform rules, arbitration is administered by: either an arbitral center/institution operating in the UAE (including centers applicable to free zones); or (if necessary) DIAC or another comparable UAE arbitral institution — provided the chosen institution can ensure: (i) individual procedure, (ii) neutral process, (iii) enforcement of the award in the UAE and internationally. If the chosen institution/center becomes unavailable, ceases operations or refuses to administer the dispute for reasons beyond the parties' control, the parties agree to good-faithfully select an alternative arbitral institution in the UAE.
2.8. Composition of Arbitration. Unless the parties agree otherwise, arbitration is heard by a sole arbitrator. Appointment of the arbitrator is carried out in accordance with the rules of the chosen arbitral institution/center.
2.9. Language of Proceedings. The parties expressly agree that the language of arbitration proceedings is English. (If the User submits documents in another language, the Company or arbitrator may require translation. This does not deprive the User of the right to present evidence, but the procedure must remain manageable and comprehensible for the arbitration.)
2.10. Remote Format and Documents. Arbitration may be conducted: (a) entirely on the basis of documents (written submissions), if the arbitrator deems this sufficient; (b) with online hearings (video conference/telephone conference); (c) in person in the UAE — if the arbitrator and/or institution considers this necessary. The parties acknowledge that electronic documents and electronic evidence are admissible, and electronic correspondence between the parties may be used as evidence.
2.11. Applicable Law to the Dispute and the Terms. These Terms, as well as any Disputes not resolved by party agreement otherwise, are governed by UAE legislation. At the same time, the parties acknowledge the international nature of the MOSHKA FZ-LLC Platform and that certain mandatory rules of the User's country of residence law may apply to the extent they cannot be excluded by party agreement (if this is expressly established by law).
2.12. International Nature of the Agreement and Service. You confirm and agree that: (a) the MOSHKA FZ-LLC Platform is provided from the UAE and managed by a Company registered in the UAE; (b) access to the Platform may be made from different countries; (c) interaction of the parties and processing of operations (including payment through payment processors) may have a cross-border nature; (d) in this connection, the provisions of these Terms on sanctions, service availability territory and compliance apply.
2.13. What You Lose/What You Retain (explanation of consequences). You understand and agree that with mandatory arbitration: the dispute is heard by an arbitrator, not a government judge or jury; procedures may differ from government courts (including evidence disclosure, timelines and procedures); the arbitrator's decision may be final, and appeal opportunities are limited. At the same time, you retain rights expressly provided by these Terms and applicable law, including the right to pre-dispute notice, the right to be heard in arbitration and the right to present evidence.
2.14. Exceptions from Mandatory Arbitration (Limited). Notwithstanding mandatory arbitration, the parties retain the right to: (a) apply to a competent court for interim measures, if necessary to preserve the status quo, prevent imminent harm or ensure enforcement of a future arbitral award; (b) apply to a competent court for claims related to intellectual property rights protection (e.g., prohibition of unlawful use, violation of exclusive rights, trade secret protection), if the arbitral institution/law allows such judicial protection in parallel; (c) use the small claims procedure (if and only if such procedure exists and applies to the User at their location and does not conflict with mandatory UAE law and the chosen arbitral procedure). The existence of an exception does not constitute a waiver of arbitration on the merits — except in cases where applicable law expressly requires judicial consideration.
The User agrees that any claims for injunctive or prohibitory relief, except in cases expressly provided by mandatory legislation, are subject to consideration within arbitration proceedings and may not be used to circumvent this arbitration agreement.
2.15. Confidentiality of Arbitration. Unless otherwise required by applicable law or arbitral institution rules, the parties agree that arbitration and arbitral materials are confidential, except for disclosure necessary for: (a) enforcement of the award; (b) fulfillment of legal obligations; (c) disclosure to auditors/consultants subject to confidentiality; (d) responses to government authorities upon lawful request.
2.16. Severability and Continuation in Force. If any provision of this clause 2 is found invalid or unenforceable, the remaining provisions continue in force to the maximum permissible extent. If the mutual arbitration obligation itself is found invalid — then the provisions of the "Applicable Law and Court/Forum" section provided in these Terms (or other mandatory applicable law provisions) apply.
Application of Mandatory Rules to Arbitration Agreement
If the legislation of the User's country of permanent residence expressly prohibits mandatory arbitration for a certain category of claims, the relevant claims are subject to consideration by a competent court to the extent that such consideration is mandatory and cannot be excluded by party agreement. In the remaining part, this arbitration agreement retains full legal force.
3. Waiver of Class and Collective Actions (Class/Collective Action Waiver)
3.1. To the maximum extent permitted by applicable law, the User and the Company expressly agree that any Dispute is subject to resolution exclusively on an individual basis between the specific User and the Company.
3.2. The User waives the right to: (a) act as plaintiff or participant in a class, group, consolidated or representative action; (b) initiate or participate in class, group or mass arbitration; (c) combine their claims with claims of other users, regardless of similarity of factual circumstances or legal characterization; (d) require consideration of the Dispute as a "class action", "collective action", "representative action", "mass arbitration" or other similar procedural form.
3.3. The arbitrator may not: (a) consolidate claims of several persons in one proceeding; (b) hear claims on a representative basis; (c) award remedies that go beyond the individual claim of a specific party; (d) render a decision that is binding on persons who are not parties to the specific arbitration proceeding.
3.4. Any arbitration proceeding is conducted exclusively between the Company and the specific User who initiated the Dispute. Each arbitration is heard separately, regardless of the existence of similar claims from other users.
3.5. If several users present similar or analogous claims, the Company may require their consideration exclusively on an individual basis, sequentially, without consolidation, unless expressly provided otherwise by mandatory applicable law.
3.6. This class action waiver extends to: (a) damage claims; (b) claims for invalidity of terms; (c) injunctive relief claims; (d) any other claims arising from these Terms or Platform use.
3.7. If any provision of this section is found invalid or unenforceable in respect of the prohibition on class or group consideration of claims: (a) the relevant part may be found invalid to the extent necessary to bring it into compliance with applicable law; (b) the arbitration agreement in the remaining part retains force; (c) however, if it is found that class consideration of claims is mandatory by law and cannot be excluded by party agreement, the Company may require consideration of the relevant Dispute in a competent court of the UAE jurisdiction instead of arbitration.
3.8. The User confirms that they understand the consequences of waiving class actions, including that: (a) they may only assert claims on their own behalf; (b) they may not act as a representative of a group of persons; (c) they may not count on collective distribution of court or arbitral costs; (d) protection of their rights is carried out exclusively on an individual basis.
3.9. This class action waiver is an essential condition of these Terms and the arbitration agreement. The Company would not have provided access to the MOSHKA FZ-LLC Platform on the terms of these Terms without including this provision.
4. Arbitration Proceeding Procedure
Any Dispute not resolved through the mandatory pre-dispute procedure is subject to final resolution through arbitration in the United Arab Emirates. The seat of arbitration is Fujairah Creative City, United Arab Emirates. Arbitration is conducted in accordance with the Arbitration Rules of the Dubai International Arbitration Centre (DIAC) in effect at the time of the claim filing, or another recognized arbitral center in the UAE if DIAC is objectively unavailable or has ceased operations.
This arbitration agreement is governed by UAE legislation, including UAE Federal Arbitration Law No. 6 of 2018. The substantive legal relations of the parties are subject to UAE law without application of conflict of law rules that could lead to application of the legislation of another jurisdiction.
Arbitration is heard by a sole arbitrator appointed in the manner established by the applicable arbitral rules. The arbitrator must have sufficient qualifications and experience in hearing international commercial disputes, including disputes related to digital platforms and electronic agreements.
The language of arbitration proceedings is English. All documents, evidence, party submissions and the final award are to be submitted and rendered in English. If the User submits documents in another language, they undertake to provide an official translation into English at their own expense. The arbitrator may refuse to consider documents without translation.
Arbitration may be conducted in person, via video conference, or entirely on the basis of written materials — at the arbitrator's discretion taking into account the nature of the Dispute, the amount of claims and the principle of procedural economy. In cases where the amount of the claims asserted is insignificant by international commercial standards, the arbitrator may decide to hear the Dispute solely on the basis of written materials without an oral hearing, if this does not violate the parties' right to a fair hearing.
The arbitrator may establish reasonable procedural timelines, limit the scope of evidence disclosure, determine the admissibility and relevance of submitted materials, and apply other procedural mechanisms aimed at effective and fair resolution of the Dispute. The arbitrator's decision is final and binding on the parties and may be enforced in any jurisdiction in accordance with applicable international conventions, including the 1958 New York Convention on the Recognition and Enforcement of Foreign Arbitral Awards.
The parties agree that arbitration proceedings are confidential. All case materials, procedural documents, evidence, hearing records and the arbitral award are not subject to disclosure to third parties, except in cases where such disclosure is required by applicable law, for enforcement of the arbitral award, or for protection of a party's legitimate interests in a competent court.
The arbitral award may provide for the awarding of monetary amounts, interest, arbitration costs and reasonable legal costs to the extent permissible by UAE legislation and applicable arbitral rules. The arbitrator may not award class or representative remedies, nor render decisions affecting the rights of persons who are not parties to the specific arbitration proceeding.
Acceptance of these Terms constitutes the User's express and unambiguous consent to dispute resolution in the specified manner and waiver of consideration of such Disputes by courts of any jurisdiction, except in cases expressly provided by these Terms or mandatory applicable law.
5. Exceptions from Arbitration Agreement. Court Recourse in Limited Cases
Notwithstanding the mandatory nature of arbitration provided by these Terms, the parties agree that certain categories of claims may be considered outside arbitration in strictly limited cases.
The Company reserves the right to apply to a competent court of the UAE for protection of its intellectual property rights, including but not limited to copyrights, neighboring rights, trademarks, trade designations, domain names, trade secrets, confidential information, software and databases. Such court recourse is not considered a waiver by the Company of the arbitration agreement with respect to other Disputes.
The Company also has the right to apply to a court for interim measures, including injunction, if there is a risk of immediate and material harm to its rights, reputation, technological infrastructure or intellectual property. In such cases, arbitration may be initiated in parallel or after obtaining interim measures.
The User may apply to a competent court in the UAE exclusively in cases where applicable mandatory legislation expressly prohibits mandatory arbitration for the relevant category of claims. In this case, the burden of proving the impossibility of arbitration lies with the User.
If the legislation of the User's jurisdiction provides for the possibility of hearing minor property claims in a specialized small claims court and such right cannot be restricted by party agreement, the User may use this procedure exclusively for claims falling within the limits of such jurisdiction. However, such recourse must not have a class or representative nature.
Recourse by one of the parties to a court within the limits expressly provided in this section is not considered a waiver of the arbitration agreement with respect to other claims and does not deprive the other party of the right to require transfer of the relevant Dispute to arbitration to the extent permissible.
If the arbitration agreement provided in this Section IX is found fully or partially invalid, unenforceable or inapplicable to a specific Dispute, such Dispute is subject to consideration exclusively by competent courts of the UAE at the Company's place of registration, unless expressly established otherwise by mandatory applicable law.
6. International Nature of the Agreement
This Terms of Service governs relations between the Company registered in the Fujairah Creative City Free Zone, UAE, and Users located in various countries and jurisdictions. The User expressly acknowledges and agrees that the agreement concluded through acceptance of these Terms is international in nature and constitutes an international commercial agreement within the meaning of applicable legislation.
The MOSHKA FZ-LLC Platform is a digital service providing remote access to information and entertainment materials, live sessions, events, additional materials and other functional capabilities exclusively via the internet. Access provision is carried out remotely, cross-border and without the Company's physical presence in the User's country.
The User confirms that they understand and accept the following circumstances:
- the Company operates exclusively in the UAE;
- access to the Platform is provided in digital form from the Company's registration jurisdiction;
- conclusion of the agreement occurs through electronic acceptance without signing paper documents;
- performance of the agreement is carried out remotely;
- payments may be processed by international payment processors operating in various jurisdictions;
- the technological infrastructure ensuring Platform functioning may be located in various countries depending on the cloud and hosting solutions used.
The User also confirms that they independently and at their own expense ensure compliance with the legislation of their country of residence, including currency regulations, tax legislation, consumer protection legislation, digital services legislation and other applicable rules.
These Terms does not create a permanent establishment, branch, agency relationship, partnership or joint activity of the Company in the User's country. Use of the Platform cannot be considered as the Company conducting regulated or licensed activities in the User's jurisdiction, unless expressly provided otherwise by UAE legislation.
The User agrees that UAE law governs this agreement regardless of the place of actual Platform access, the User's citizenship or the location of their payment instrument, except in cases where mandatory rules of the User's country law expressly apply and cannot be excluded by party agreement.
Nothing in these Terms creates between the parties a relationship of partnership, joint activity, agency, employment or representation. The User may not make statements on behalf of the Company or create the appearance of having such authority.
This provision is an essential condition of the Terms and is taken into account by the Company when forming the Service provision model, selecting payment processors, compliance policies and dispute resolution mechanisms.
Limitation by Mandatory Consumer Law Rules
If the User is a natural person purchasing access to the Service for personal, non-commercial purposes, and the legislation of their country of permanent residence contains mandatory consumer protection rules that cannot be excluded by party agreement, such rules apply to the extent they are subject to mandatory application.
Nothing in these Terms is aimed at depriving the User of rights provided by such mandatory rules.
If the arbitration agreement is found fully unenforceable with respect to a specific Dispute, such Dispute is subject to the exclusive jurisdiction of UAE courts at the Company's place of registration, unless expressly provided otherwise by mandatory applicable law.
To the maximum extent permitted by applicable law, the parties waive the right to a jury trial (waiver of jury trial).
The Company is not obligated to participate in alternative dispute resolution procedures unless otherwise required by mandatory applicable law.

To the maximum extent permitted by applicable law, any Dispute, claim or complaint of the User must be asserted within 12 (twelve) months from the moment when the User knew or reasonably should have known of the relevant circumstances, except in cases where mandatory applicable law provisions provide for a longer limitation period that cannot be shortened by party agreement.

In such case, the Company may immediately:
- terminate Service access provision;
- suspend or close the account;
- cease payment processing;
- decline further performance of obligations;
- notify payment processors or competent authorities to the extent provided by law.
Such termination is carried out without any Company liability to the User and without compensation, except as expressly provided by mandatory applicable law.
The User undertakes not to access, use, export, re-export, transfer, disclose or make available any part of the Service, software, technologies or materials in violation of Export Control and Sanctions Laws.
The User also undertakes not to upload, post or transmit through the Service any materials, technologies or data (including encryption information) whose export is restricted or requires a special license under applicable law.
Violation of this section's provisions constitutes a material breach of the Terms and gives the Company the right to immediately terminate contractual relations.

The Company is not liable for errors of automated geolocation systems or third-party services provided such actions were taken in good faith for legal compliance purposes.

XVII. WAIVER
Non-exercise by the Company of any right provided by these Terms, or non-application of liability measures for the User's violation of Offer terms, is not considered a waiver of the respective right and does not prevent the Company from exercising such right in the future.
